- Overview
These Terms of Service (“Terms”) govern your access to and use of the Nekaflow platform, website, and mobile application (collectively, the “Service”), operated by Jasper Group Corporation Ltd (“Nekaflow”, “we”, “our”, or “us”), a company incorporated in Hong Kong.
By creating an account or using our Service, you agree to these Terms in full. If you do not agree, you must not use the Service.
- The Service
Nekaflow provides:
- AI-generated, scientifically designed sound environments for commercial spaces
- Fully licensed, royalty-free audio programs for business use
- A multi-location dashboard for scheduling and automating music playback
- Analytics and performance monitoring tools
- Business-grade support and onboarding assistance
We reserve the right to modify, update, or discontinue any part of the Service at any time. Where material changes are made, we will provide reasonable notice.
- Eligibility & Account
To use Nekaflow, you must:
- Be at least 18 years of age
- Be acting on behalf of a legitimate business entity
- Provide accurate, current, and complete registration information
- Keep your account credentials secure and confidential
You are responsible for all activity that occurs under your account. Notify us immediately at info@nekaflow.com if you suspect unauthorised access.
- Subscriptions & Payments
- Nekaflow is offered on a subscription basis. Pricing is displayed on our Pricing page at www.nekaflow.com/pricing
- Subscriptions are billed monthly or annually, depending on your selected plan
- Payments are processed securely by our third-party payment processor
- Subscription fees are charged in advance at the start of each billing cycle
- All fees are non-refundable except as expressly stated in Section 5 (Refunds) or required by applicable law
- We reserve the right to adjust pricing with 30 days’ written notice to existing subscribers
- Failure to pay may result in suspension or termination of your account
- Refund Policy
Nekaflow offers the following refund terms:
- Free Trial: if a free trial is available, no payment is charged until the trial period ends
- Annual Plans: requests for refund within 14 days of initial purchase will be reviewed on a case-by-case basis
- Monthly Plans: monthly subscription fees are non-refundable once the billing cycle has begun
- Service Failures: if the Service is materially unavailable for an extended period due to our error, a pro-rata credit or refund may be issued at our discretion

- Permitted Use
You may use Nekaflow to:
- Stream licensed audio programs within your registered business locations
- Configure sound environments for your business objectives
- Manage multiple locations and rooms through the dashboard
You must not:
- Redistribute, resell, or sublicense Nekaflow audio or platform access
- Record, extract, or reproduce any audio content provided through the Service
- Use the Service for any unlawful purpose or in violation of any applicable law
- Reverse engineer, decompile, or attempt to access the underlying AI systems
- Share your account credentials with unauthorised third parties
- Intellectual Property
Nekaflow’s Rights
- All audio content, AI systems, software, platform design, and brand elements are the exclusive property of Jasper Group Corporation Ltd
- Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service during your active subscription period
- No ownership of any Nekaflow intellectual property is transferred to you
Your Content
- Any business data, configurations, or content you upload to the platform remains your property
- You grant Nekaflow a limited licence to use this data solely to deliver and improve the Service
- Music Licensing & Compliance
All audio content provided through Nekaflow is fully licensed for commercial use by Jasper Group Corporation Ltd.
- You are not required to obtain separate ASCAP, BMI, SACEM, PRS, or PRO licences for audio streamed through Nekaflow
- Your licence to play Nekaflow audio is valid only during an active paid subscription
- Playing Nekaflow audio after account suspension or cancellation constitutes a breach of these Terms
Nekaflow’s licensing covers audio streamed through our platform only. Any external music or audio you introduce into your business spaces remains your responsibility.
- Service Availability
We aim to provide a reliable, high-availability platform. However:
- We do not guarantee 100% uptime or uninterrupted access
- Planned maintenance will be communicated in advance where possible
- We are not liable for disruptions caused by third-party infrastructure, internet connectivity, or force majeure events
- Offline mode features (where available) may allow limited functionality during connectivity issues
- Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
We do not warrant that:
- The Service will meet all of your specific business requirements
- Audio programs will produce specific measurable outcomes (such as increased revenue or reduced customer wait times)
- The Service will be error-free or free from interruption
Scientific research referenced in our materials represents general evidence and does not constitute a guarantee of results for your specific business environment.
- Limitation of Liability
To the maximum extent permitted by applicable law, Jasper Group Corporation Ltd shall not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Loss of revenue, profits, customers, or business opportunities
- Data loss or corruption
- Changes to third-party platform integrations or services
Our total liability to you for any claim arising from these Terms or the Service shall not exceed the total fees paid by you in the 3 months preceding the claim.
- Confidentiality
Both parties agree to keep confidential any non-public information disclosed in the course of using or providing the Service. This obligation survives termination of your account.
Nekaflow will not disclose your business configuration data, usage patterns, or account information to any third party except as required by law or as described in our Privacy Policy.
- Termination

- You may cancel your subscription at any time via your account settings or by contacting info@nekaflow.com
- Access continues until the end of your current billing period
By Nekaflow
- We may suspend or terminate your account if you breach these Terms
- We may terminate your account if payment is overdue by more than 14 days
- We may terminate your account if the Service is discontinued
- Where possible, we will provide 14 days’ notice before termination except in cases of serious breach
Upon termination, your licence to use Nekaflow audio and platform features ceases immediately.
- Governing Law & Disputes
These Terms are governed by the laws of Hong Kong Special Administrative Region.
Any disputes arising from these Terms or the use of the Service shall be resolved as follows:
- First: the parties shall attempt to resolve the dispute through good-faith negotiation within 30 days
- Then: unresolved disputes shall be referred to the courts of Hong Kong
Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction.
- Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you via email or an in-platform notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
